These Content Standards exist to help our Contributors understand the FanSided guidelines for any FanSided Website content. The list of standards specified below, however, is not a comprehensive listing of prohibited conduct by a Contributor. The Contributor remains fully responsible for ongoing monitoring of content to ensure adherence with the requirements of the Content Standards. The Content Standards include the following:
1. Unacceptable Content.
The Contributor Websites, including all information, text, images, photographs, graphics, e-mail addresses, web pages, comments and reviews, discussion board postings and other materials contained in or linked to the Contributor Websites, may not contain, publish, link to, sell or otherwise distribute any āUnacceptable Contentā. Unacceptable Content is defined as content that:
a. Is lewd, profane, obscene, or indecent, including any content that is violent or pornographic or that contains nudity, explicit violent or sexual material, or depictions of violent or sexual acts;
b. Is harassing, threatening, abusive, inflammatory or otherwise objectionable, including content used to harass, stalk or threaten a person;
c. Is unlawful or that could facilitate the violation of any applicable law, regulation or governmental policy;
d. Offers or disseminates any fraudulent goods, services, schemes or promotions, including any make-money-fast schemes, chain letters, or pyramid schemes;
e. Is libelous, defamatory, knowingly false or misrepresents another person;
f. Infringes upon the intellectual property rights of any third party, including the copyrights, trademarks, trade names, trade secrets or patents of such third party;
g. Is harmful to FanSidedās or any other partyās systems and networks, including any transmissions which may damage, interfere with, surreptitiously intercept, or expropriate any system, program, data or personal information;
h. Violates any obligation of confidentiality;
i. Violates the privacy, publicity, moral or any other right of any third party; and
j. Consists of any other content that FanSided in its sole discretion deems to be Unacceptable Content.
If Contributor permits user comments and trackbacks on the Contributor Websites, Contributor shall regularly monitor these comments and remove any that include and/or link to Unacceptable Content.
2. Editorial Consistency.
The Contributor must also:
a. Ensure that all content contained in the Contributor Websites is original material created by Contributor, or if not the original material of the Contributor, ensure that express permission of the owner(s) of such material has been obtained;
b. Ensure that all opinions and statements are representative of the Contributorās views.Ā FanSided, in its sole discretion, will determine what constitutes āUnacceptable Contentā under these Content Standards. FanSided is under no obligation to monitor the Contributor for compliance with these Content Standards. FanSided may change the Content Standards at any time.
3. Prohibited User Conduct.
You warrant and agree that, while using the Website and the various services, features and functionality offered on or through the Website, you shall not:
(a) impersonate any person or entity or misrepresent your affiliation with any other person or entity;
(b) insert your own or a third partyās advertising, branding or other promotional content into any of the Websiteās content, materials or services (for example, without limitation, in an Embedded Video (as defined herein), RSS feed or a podcast received from us or otherwise through the Website), or, except as otherwise specifically authorized in these Terms of Service or on the Website use, redistribute, republish or exploit such content or service for any further commercial or promotional purposes; or
(c) attempt to gain unauthorized access to other computer systems through the Website. You shall not:
(i) engage in spidering, āscreen scraping,ā ādatabase scraping,ā harvesting of e-mail addresses, wireless addresses or other contact or personal information, or any other automatic means of obtaining lists of users or other information from or through the Website or the services offered on or through the Website, including without limitation any information residing on any server or database connected to the Website or the services offered on or through the Website;
(ii) obtain or attempt to obtain unauthorized access to computer systems, materials or information through any means;
(iii) use the Website or the services made available on or through the Website in any manner that could interrupt, damage, disable, overburden, or impair the Website or such services, including, without limitation, sending mass unsolicited messages or āfloodingā servers with requests;
(iv) use the Website or the Websiteās services or features in violation of our or any third partyās intellectual property or other proprietary or legal rights; or
(v) use the Website or the Websiteās services in violation of any applicable law. You further agree that you shall not attempt (or encourage or support anyone elseās attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the Website or the Websiteās services, or any content thereof, or make any unauthorized use thereof. You agree that you shall not use the Website in any manner that could interfere with any other partyās use and enjoyment of the Website or any of its services. You shall not obtain or attempt to obtain any materials or information through any means not intentionally made publicly available or provided for through the Website.
4. Public Forums.
We may, from time to time, make messaging services, chat services, bulletin boards, message boards, blogs, other forums and other such services available on or through the Website. In addition to any other rules or regulations that we may post in connection with a particular service, you agree that you shall not upload, post, transmit, distribute or otherwise publish through the Website or any service or feature made available on or through the Website, any materials which
(i) restrict or inhibit any other user from using and enjoying the Website or the Websiteās services,
(ii) are fraudulent, unlawful, threatening, abusive, harassing, libelous, defamatory, obscene, vulgar, offensive, pornographic, profane, sexually explicit or indecent,
(iii) constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law,
(iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, trade secret, confidentiality, contract, patent, rights of privacy or publicity or any other proprietary right,
(v) contain a virus, spyware, or other harmful component,
(vi) contain embedded links, advertising, chain letters or pyramid schemes of any kind, or
(vii) constitute or contain false or misleading indications of origin, endorsement or statements of fact. You further agree not to impersonate any other person or entity, whether actual or fictitious, including us or our personnel. You also may not offer to buy or sell any product or service on or through your comments submitted to our forums. You alone are responsible for the content and consequences of any of your activities.
5. Right to Monitor and Editorial Control.
We reserve the right, but do not have an obligation, to monitor and/or review all materials posted to the Website or through the Websiteās services or features by users, and we are not responsible for any such materials posted by users. However, we reserve the right at all times to disclose any information as necessary to satisfy any law, regulation or government request, or to edit, refuse to post or to remove any information or materials, in whole or in part, that in our sole discretion are objectionable or in violation of this Terms of Use, our policies or applicable law. We may also impose limits on certain features of the forums or restrict your access to part or all of the forums without notice or penalty if we believe you are in breach of the guidelines set forth in this paragraph, our terms and conditions or applicable law, or for any other reason without notice or liability.
6. Submissions.
Any information, creative works, demos, ideas, suggestions, concepts, methods, systems, designs, plans, techniques or other materials submitted or sent to us (including, for example and without limitation, that which you submit or post to our chat rooms, message boards, survey responses, and/or our blogs, or send to us via e-mail) (āSubmitted Materialsā) will be deemed not to be confidential or secret, and may be used by us in any manner consistent with the FanSided Privacy Policy.
If you at any time send, provide us with or post creative ideas, suggestions or any other materials in response to our request (each, a ārequested submissionā and together with unsolicited submissions, āsubmissionsā), you acknowledge and agree that we may treat the requested submission as non-confidential and non-proprietary in each instance and in all respects.
You agree that we have no obligation of confidence to you with respect to any submission and we shall not be liable to you in any way for any use or disclosure of any submission. We may use any submission without restriction for any purpose whatsoever, including, without limitation, reproduction, disclosure, transmission, publication, broadcast or posting, and you hereby irrevocably waive, release and give up any claim that any use of such submission violates any of your rights including, without limitation, copyrights, trademarks, moral rights, privacy rights, proprietary or other property rights, publicity rights or right to credit for the material or ideas.
You hereby irrevocably grant to us the right, but not the obligation, to reproduce, modify, adapt, publish, broadcast, license, perform, post, sell, translate, incorporate, create derivative works from, distribute and otherwise use the submission in any and all media, now known or hereafter devised, throughout the universe, in perpetuity, without according you any compensation. By submitting a submission to us, you represent that such submission is original to you and does not conflict with, violate or infringe upon the rights of any third parties including, without limitation, any intellectual property rights and rights of publicity and/or privacy. All submissions made by you shall be the sole property of FanSided and will not be acknowledged or returned. You agree and understand that we are not obligated to use any submission you make and you have no right to compel such use.
You hereby acknowledge and agree that your relationship with us is not a confidential, fiduciary or other special relationship, and that your decision to make a submission does not place us in a position that is any different from the position held by members of the general public with regard to your submission. You understand and acknowledge that we have broad access to ideas, products designs and other materials related to our business, and that new ideas, products, designs and other materials are constantly submitted to us or being developed by our own employees. Many submissions that we receive or ideas, products, designs and materials that are independently developed by us may be competitive with, similar or identical to your submission. You acknowledge and agree that you will not be entitled to any compensation as a result of our use of any such similar or identical submission or independently developed ideas, products, designs or materials.
You acknowledge that, with respect to any claim you may have relating to or arising out of our actual or alleged exploitation or use of any submission you make, the damage, if any, caused thereby will not be irreparable or otherwise sufficient to entitle you to injunctive or other equitable relief or to in any way enjoin the production, distribution, exhibition or other exploitation of any production based on or allegedly based on your submission, and your rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
You acknowledge that, with respect to any claim you may have relating to or arising out of our actual or alleged exploitation or use of any submission you make, the damage, if any, caused thereby will not be irreparable or otherwise sufficient to entitle you to injunctive or other equitable relief or to in any way enjoin the production, distribution, exhibition or other exploitation of any production based on or allegedly based on your submission, and your rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
